Acquisition of Omniome, Inc.

 

On September 20, 2021, we completed our acquisition of Omniome, Inc. (“Omniome”), a San Diego-based company developing a highly differentiated, proprietary short-read DNA sequencing platform capable of delivering high accuracy, pursuant to an Agreement and Plan of Merger and Plan of Reorganization (the “Merger Agreement”) with Omniome, Inc. (“Omniome”), Apollo Acquisition Corp., a wholly owned subsidiary of the Company, Apollo Acquisition Sub, LLC, a wholly owned subsidiary of the Company, and Shareholder Representative Services, LLC, as securityholder representative. At the closing of the acquisition, holders of Omniome’s then-outstanding equity interests received approximately $315.7 million in cash and 8,911,580 shares of Common Stock. In addition, subject to the terms of the Merger Agreement, former holders of Omniome’s outstanding equity interests are also entitled to receive $200 million (composed of $100 million in cash and the rest in shares of Common Stock), subject to adjustment, upon completion of a specified milestone event. This milestone event occurred on September 20, 2023.
